My Speech Bot Terms of Service

1. Introduction

Welcome to My Speech Bot! These Terms of Service ("Terms") constitute a legally binding agreement between you and My Speech Bot, LLC, a Delaware limited liability company ("My Speech Bot," "we," "us," or "our"), governing your access to and use of the My Speech Bot mobile application (the "App").

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the App.

IMPORTANT: THESE TERMS CONTAIN AN ARBITRATION CLAUSE. PLEASE REVIEW THE DISPUTE RESOLUTION AND ARBITRATION SECTION BELOW CAREFULLY SINCE IT AFFECTS YOUR LEGAL RIGHTS.

2. Description of Service

My Speech Bot is a mobile application designed for speech practice at home. The App provides exercises, activities, and tools intended to support personal speech practice in a non-clinical, home-based setting.

3. Medical Disclaimer

IMPORTANT: THE APP IS NOT A MEDICAL DEVICE AND IS NOT INTENDED FOR MEDICAL USE.

The App is designed solely for home-based speech practice as a supplementary tool and is not a substitute for professional medical advice, diagnosis, or treatment.
The App does not provide medical advice or services and should not be relied upon for any medical purpose.
Always seek the advice of a qualified Speech-Language Pathologist (SLP) or other qualified healthcare provider with any questions you may have regarding a medical condition or speech concern.
Never disregard professional medical advice or delay in seeking it because of information you have accessed through the App. Reliance on any information provided by the App is solely at your own risk.
Any automated speech feedback provided by the App may be unreliable and should never be relied upon for any medical purpose.

My Speech Bot makes no representations or warranties that the App will improve speech or address any medical condition.

4. Speech Recognition and Feedback Features

The App may include speech recognition and automated feedback features (the “Speech Features”). Some Speech Features may be experimental or offered in beta form. Speech Features may contain errors, may misinterpret speech, and may produce inaccurate, incomplete, or unreliable feedback. Speech Features are provided for informational purposes only and are not a substitute for professional, educational, or medical evaluation, instruction, or care.

You understand and agree that Speech Features are provided “AS IS” without warranties of any kind, and that your use of them is at your sole risk. If a child uses Speech Features, you agree to supervise the child’s use. You are solely responsible for evaluating the accuracy and suitability of any feedback or outputs, particularly where children are involved. The Speech Features may be modified, limited, or discontinued at any time.

5. Eligibility and Account Requirements

The App is currently only for personal, non-commercial use within the United States. You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you meet these eligibility requirements.

You further represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Children may use the App through profiles within an adult-created account only with verified parental consent in accordance with the Children's Online Privacy Protection Act (COPPA). For more information about parental verification and COPPA Compliance, please refer to our Privacy Policy. The adult account holder (the parent or legal guardian) is solely responsible for supervising any child's use of the App through their account.

6. Account Responsibilities

You agree to:

Provide accurate information during registration.
Maintain the confidentiality of your account credentials.
Accept full responsibility for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account.
Not share your account with others or allow others to access your account except as expressly permitted (e.g., children using the App through profiles within your account).

7. License and Acceptable Use Policy

You are granted a limited, non-exclusive, non-transferable, non-assignable, revocable license to access and use the App for personal, non-commercial purposes in accordance with these Terms. You agree to use the App only in accordance with these Terms, and not for any unlawful, harmful, or dishonest purpose. You agree NOT to:

Use the App in any way that violates any applicable federal, state, local, or international law or regulation;
Reverse engineer, decompile, disassemble, or otherwise attempt to discover, extract, or modify the source code, internal resources, or underlying algorithms of the App;
Use the App for any commercial purpose;
Copy, modify, create derivative works of, distribute, sell, lease, or sublicense any portion of the App;
Attempt to interfere with any other user's use and enjoyment of the App;
Use the App for the purpose of creating a competing product or service or to prepare an intellectual property infringement lawsuit against My Speech Bot;
Use the App in any manner that could damage, disable, disrupt, or impair the App.
Use any data mining, robot, spider, scraper, or other automated means to access the App;
Circumvent or attempt to circumvent any security measures or gain unauthorized access to any portion of the App, other accounts, computer systems, or networks connected to the App;
Attempt to compromise the confidentiality, security, or integrity of the App;
Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material;

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and access to the App.

8. Intellectual Property Rights

The App and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by My Speech Bot, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. No Warranties

YOUR USE OF THE APP IS AT YOUR SOLE RISK. ANY CONTENT OR INFORMATION IN THE APP MAY BE INACCURATE OR UNHELPFUL, AND ANY AUTOMATED SPEECH FEEDBACK PROVIDED BY THE APP MAY BE UNRELIABLE.

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MY SPEECH BOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, PERFORMANCE, AVAILABILITY, AND NON-INFRINGEMENT.

MY SPEECH BOT DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT ITS OPERATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM ITS USE WILL BE ACCURATE OR RELIABLE. FURTHERMORE, MY SPEECH BOT DOES NOT WARRANT THAT THE APP WILL BE FREE OF VIRUSES OR OTHER HARMFUL CONTENT, OR THAT ANY ERRORS IN THE APP WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MY SPEECH BOT, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MY SPEECH BOT HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MY SPEECH BOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO MY SPEECH BOT FOR THE APP. IF YOU USED THE APP FREE OF CHARGE, MY SPEECH BOT DISCLAIMS ALL LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, AND ITS TOTAL LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, SOME OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. User Content

When you use the App, you and your child may create, upload, or submit audio recordings, associated data, and other content ("User Content"). You retain ownership of your User Content. We understand the sensitivity of this data and handle it with the utmost care, in accordance with all applicable laws, including the Children's Online Privacy Protection Act (COPPA).

Parental Consent

We do not collect any User Content without the explicit, verifiable consent of a parent or legal guardian. By creating an account, providing consent, and using the App, you:

Confirm that you are the parent or legal guardian of any child using the account.
Agree that you are solely responsible for all User Content submitted through your account.
Acknowledge that you have read these Terms, our Privacy Policy, and our direct notice to parents in the App.
Expressly consent to our collection, use, and disclosure of User Content as described in these Terms and our Privacy Policy.
Understand and agree that you will not receive any compensation for our use of User Content.

License and Use of Data

By submitting User Content through the App, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to collect, store, process, analyze, reproduce, modify, distribute, create derivative works of, and otherwise use your User Content solely for the following internal purposes:

Providing and customizing speech recognition and feedback features, including customizing speech feedback and providing progress tracking and parent reports;
Developing, training, fine-tuning, evaluating, and improving our speech recognition and feedback features for the App and related services; and
Performing internal analytics, quality assurance, research, and development, including by creating aggregated or anonymized datasets.

Certain authorized team members may review User Content solely for these internal purposes as described in our Privacy Policy.

The license above is perpetual and irrevocable with respect to any aggregated, anonymized, de-identified, or derivative data (including machine learning models, weights, and improvements) created from your User Content prior to any account deletion or termination of these Terms.

Account Deletion and Data Retention

If you delete your account, we will promptly cease all new uses of your original User Content and delete it (except where retention is required for legal, security, or compliance purposes). However, the license to pre-existing aggregated, anonymized, de-identified, or derivative data described above survives indefinitely.

All collection, use, disclosure, retention, and deletion of personal information and User Content are governed by our Privacy Policy.

12. Third-Party Services

The App may rely on third-party service providers to support its operation, including but not limited to cloud hosting providers, email providers, authentication providers, and mobile app marketplaces ("Third-Party Services").

By using the App, you acknowledge and agree that:

Use of Third-Party Services. My Speech Bot may use Third-Party Services to host, store, process, authenticate, or transmit data, and to support payments or subscriptions offered through app marketplaces.
Third-Party Terms. Your use of the App may also be subject to the terms and conditions or privacy policies of these Third-Party Services (such as those governing app store purchases or cloud-hosted data). My Speech Bot is not responsible for the acts or omissions of any Third-Party Service.
Data Sharing with Third-Party Services. My Speech Bot may share data, including User Content and account information, with Third-Party Services as reasonably necessary to operate, secure, support, and improve the App. Such sharing is further described in our Privacy Policy.
No Control Over Third-Party Services. My Speech Bot does not control Third-Party Services and is not liable for any unavailability, interruption, or failure of those services, or for any damages arising from their use.
Changes to Third-Party Services. My Speech Bot may add, remove, or replace Third-Party Services at any time without notice.

13. App Store Terms

If you download the App through the Apple App Store or Google Play (each, an “App Store”), the following terms apply:

Relationship with App Stores: These Terms are between you and My Speech Bot only, and not with the App Store. The App Stores are not responsible for the App, its content, or any support services.
Compliance: Your use of the App must comply with all applicable terms and usage rules of the App Store from which you obtained it.
Support and Warranty: My Speech Bot is solely responsible for providing any maintenance, support, warranty, or other services for the App as required by law or these Terms. The App Stores have no obligation to provide these services or to address any claims relating to the App (including product liability, legal/regulatory compliance, or intellectual property claims).
Third-Party Beneficiaries: You acknowledge that the App Stores (and their respective subsidiaries and affiliates) are third-party beneficiaries of these Terms and will have the right to enforce them against you.
Apple-Specific Conditions: If you downloaded the App from the Apple App Store, you specifically agree that your license to use the App is limited to Apple-branded devices you own or control, and you represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government prohibited or restricted parties list.
In-App Purchases: All billing, payment processing, and subscription management are handled solely by the App Store. My Speech Bot does not control and cannot modify the App Store's refund policies. Refunds must be requested directly through the relevant App Store.

14. Communications Consent

By creating an account or using the App, you consent to receive communications from My Speech Bot relating to your account, your use of the App, service updates, security notices, and other administrative or transactional messages. These communications may be sent by email, in-App messages, push notifications, or other contact methods you provide.

You acknowledge and agree that:

Certain communications are necessary for the App to function and for us to provide the services you request, and you may not be able to opt out of receiving them.
You are responsible for keeping your contact information accurate and up to date so that we can reach you when necessary.
If you enable push notifications on your device, you consent to receiving notifications from the App. You may disable push notifications at any time through your device settings, although doing so may limit some App features.

If you choose to receive optional marketing or promotional communications, you may withdraw your consent at any time by using the unsubscribe link in our emails.

15. Feedback and Suggestions

You may choose to submit ideas, suggestions, feedback, or proposals regarding the App (“Feedback”). If you provide any Feedback, you acknowledge and agree that:

You provide such Feedback voluntarily and without restrictions;
My Speech Bot is free to use, disclose, reproduce, modify, license, or otherwise exploit the Feedback without any obligation or compensation to you;
My Speech Bot is not required to treat the Feedback as confidential; and
My Speech Bot may use the Feedback for any purpose, including improving the App or developing new products or services.

You represent and warrant that any Feedback you provide does not infringe or violate the rights of any third party.

16. Indemnification

You agree to defend, indemnify, and hold harmless My Speech Bot, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including legal fees) arising out of or relating to:

Your use of the App or any use of the App by a child or other person through your account;
Your violation of these Terms;
Your violation of any rights of another person or entity; or
Your violation of any applicable laws or regulations.

17. Fees and Payment

The App is currently provided free of charge and does not require any payment.

We reserve the right in the future to offer premium features, subscriptions, or in-app purchases. If we do so, we will update these Terms, clearly disclose all pricing and billing details inside the App before any purchase is required, and obtain your active consent through the Apple App Store or Google Play billing system at the time of purchase. Continued use of any paid features will constitute acceptance of the pricing and the then-current Terms.

18. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information. By using the App, you agree to the terms of the Privacy Policy.

19. Changes to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice, for any reason. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

Automatic Updates

The App may automatically download and install updates, upgrades, enhancements, bug fixes, or other modifications (“Updates”). These Updates may occur automatically or may require you to manually install them, depending on your device settings.

By using the App, you consent to the receipt and installation of such Updates, and you acknowledge that:

Updates may be required for the continued use of the App;
Certain features or functionality may not operate properly if you do not install Updates;
Updates may modify or remove existing features, or introduce new ones;
My Speech Bot has no obligation to provide any Updates or to continue supporting any particular version of the App.

App Store Updates

If the App is downloaded through the Apple App Store or Google Play, Updates may also be governed by the terms of those platforms. You agree that My Speech Bot may make Updates available through such platforms and that those platforms may automatically apply Updates according to your device or account settings.

Continued Use After Updates

Your continued use of the App following any Update constitutes acceptance of the modified App and these Terms as they apply to the updated version.

20. Changes to these Terms

We reserve the right to modify these Terms at any time and will notify you by changing the “Last Updated” date at the top of these Terms. You are responsible for checking these Terms for updates. If we make material changes to these Terms, at our discretion, we may provide additional notice (such as through the App or via email).

Your continued use of the App after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App.

21. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

You may terminate your account at any time by going to settings on the main menu, selecting Delete Account, and following the provided steps to confirm your intent. You may then also delete the App from your device.

Upon termination, your right to use the App will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

22. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and My Speech Bot agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that each party retains the right to seek injunctive relief in court for intellectual property matters and each party may also bring qualifying claims in small claims court. Arbitration will be conducted by telephone, online/video conference, or based solely on written submissions, at the claimant's choice. Any in-person hearing shall take place in Delaware or in such other location as the parties may mutually agree. The arbitration will be conducted by a single arbitrator, and the arbitrator's decision will be final and binding.

Use by Minors

If you allow a minor child to access or use the App through your account, you represent and warrant that you are the child’s parent or legal guardian and have the full legal authority to bind the child to these Terms. You agree that this arbitration agreement applies to all disputes, claims, and controversies arising out of or relating to the child’s use of the App. You expressly consent to arbitration on the child’s behalf and agree that the child is bound by this arbitration agreement to the same extent as you are. You further agree that you will not bring, and will not permit your child to bring, any claim in any forum that is inconsistent with this arbitration agreement or the class action waiver below.

Class Action Waiver

You and My Speech Bot agree that each may bring claims against the other only in an individual capacity and not as part of any class or representative proceeding.

Opt-Out Right

You may opt out of this arbitration provision by sending written notice to legal@myspeechbot.com within thirty (30) days after first becoming subject to this agreement. Your notice must include your name, address, and a clear statement that you want to opt out of this arbitration agreement.

23. Governing Law and Jurisdiction

These Terms and any disputes shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you and My Speech Bot consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.

25. Waiver

The failure of My Speech Bot to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms by My Speech Bot must be in a writing signed by an authorized representative of My Speech Bot to be valid.

26. Force Majeure

My Speech Bot shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in its performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation: acts of God, flood, fire, earthquake, war, terrorist acts, riots, civil unrest, government order, law, or action; strikes or labor disputes; power or internet outages, or other similar events.

27. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us pertaining to the App, constitute the entire agreement between you and My Speech Bot regarding the App and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the App.

28. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice to you. Any attempted assignment in violation of this section shall be void.
